Orca and Loopscale Merge Into Formation, a Full-Stack DeFi Play on Solana

Two Solana DeFi veterans just became one company. Orca, the DEX, and Loopscale, the lending protocol, are merging into a New York firm called Formation.

What actually changes

Loopscale co-founder Luke Truitt takes the CEO seat, with co-founder Mary Gooneratne as COO and Orca's Christopher Montagano handling strategy and legal. Neither side disclosed the financial terms of the deal.

The pitch is a single stack: Orca's trading infrastructure plus Loopscale's credit order book and vaults. An issuer could launch an asset with trading and credit live from day one, instead of stitching together separate venues.

The numbers behind it are not small. Orca has cleared more than $550 billion in volume since 2021, while Loopscale reports over $150 million in deposits and more than $2 billion in loans facilitated.

The token question, answered

If you hold ORCA, nothing gets replaced. ORCA becomes the token for all of Formation, and Loopscale will not launch a competing one.

Loopscale points keep accruing and convert later this year. Existing lending, borrowing, vault and order book positions stay exactly where they are.

Betting on the SEC's new lane

Formation wants to fund AI, energy, robotics and defense companies, sectors it argues traditional markets serve badly.

The unlock it is chasing is the SEC's Sept. 17 innovation exemption, a five-year order letting tokenized securities venues trade tokenized U.S.-listed stocks through permissioned AMM pools without registering as exchanges. Formation says it plans to run such a venue, add licenses, and ship issuer tools within 12 months. Its products stay subject to regulatory requirements and may not be available to U.S. persons.

Why it matters

This is the DeFi-to-regulated-markets pipeline in one deal. Two protocols with real volume are folding into a company that wants securities licenses, not just TVL. For airdrop hunters the tell is the token consolidation: one asset, one narrative, points still converting. Watch whether Formation's issuer tools ship on schedule, because that decides if this is a merger or a pivot.
